Received his B.S. degree, magna cum laude, from Oral Roberts University in 1975, his J.D. and M.B.A. degrees from Williamette University in 1979 and his LL.M. degree in Taxation from Georgetown University in 1984. Mr. Sterns is a member of the Hillsborough County Bar Association, the American Bar Association, the Florida Bar, the National Center for Employee Ownership and the National Association of Stock Plan Professionals and has been awarded an “AV” rating by Martindale-Hubbell.

Mr. Sterns primarily represents small and medium-sized business entities in the formation of such entities, raising capital for expansion, compensating key employees, assisting such entities in complying with federal and state securities laws, structuring incentive and deferred compensation arrangements, handling contract negotiations and assisting in the development of trademarks and intellectual property rights and product distribution arrangements. Mr. Sterns also represents several publicly held companies in their governance, operations, and compliance with federal and state securities laws.

As part of his business transactions practice, Mr. Sterns also frequently represents franchisors and franchisees in connection with launching new entities and expanding their operations. He has represented clients in handling numerous merger and acquisition transactions and regularly represents clients that seek to implement business succession strategies.

Mr. Sterns also has extensive experience in forming and representing tax-exempt organizations, foundations, supporting organizations and public charities in all aspects of exempt organization operations and regularly assists such entities in complex financing transactions.
